Try Guys Video Submission Agreement

By submitting your video (the “Video”), you agree to the following terms and conditions (this “Agreement”):

  1. Eligibility and Authority
    You represent and warrant that:
    • You are at least 18 years old,
    • You own or control all rights in and to the Video and have full authority to grant the rights below,
    • The Video does not infringe any third-party rights, violate any laws, or require guild/union participation (e.g., SAG-AFTRA, WGA).
  1. Definition of Video
    “Video” includes all content you submit, including audiovisual material and any related elements, and all associated intellectual property and personal rights.
  2. Rights Granted
    You grant Try Guys (including 2nd Try, LLC, its affiliates, successors, licensees, and assignees) a non-exclusive, perpetual, worldwide, royalty-free license to use, display, reproduce, distribute, promote, and incorporate the Video, in whole or in part, into Try Guys productions, and to promote and distribute the Video (including as a standalone clip) across all Try Guys-branded digital and online platforms (collectively, the “Platforms”). This includes the right to make reasonable edits or create derivative works as needed for formatting, commentary, or creative purposes.
  3. Future Use and Compensation
    If Try Guys wishes to use the Video beyond the Platforms (e.g., for traditional media or unrelated commercial uses), such expanded use will be subject to good faith negotiation of compensation.
  4. Retention of Ownership
    You retain ownership of the Video, subject to the rights granted above. Try Guys is not required to use your Video and will not be liable for any failure to do so.
  5. Consideration
    You agree that the opportunity for your Video to be featured, promoted, or otherwise used by Try Guys constitutes valid and sufficient consideration for this Agreement.
  6. Assumption of Risk and Indemnification
    You voluntarily assume all risks associated with creating and submitting the Video. You agree to indemnify, defend, and hold harmless Try Guys and its affiliates from any claims, damages, or losses arising out of your breach of this Agreement or from the Video itself.
  7. Release of Claims
    You release Try Guys and its affiliates from all claims related to the use of your Video, including (but not limited to) defamation, invasion of privacy, right of publicity, or misappropriation. You waive any claims under Section 1542 of the California Civil Code and similar laws.
  8. Similar Materials
    You understand that Try Guys may receive or develop materials similar to your Video and waive any claim based on such similarity.
  9. No Injunctive Relief
    You agree that your sole remedy for any dispute under this Agreement will be monetary damages, and that you will not seek to block or interfere with the use or distribution of the Video.
  10. Severability
    If any part of this Agreement is found to be invalid or unenforceable, the rest will remain in full force and effect.
  11. Governing Law and Dispute Resolution
    This Agreement is governed by California law. Any disputes will be resolved by binding arbitration in Los Angeles County under the JAMS Streamlined Arbitration Rules, and you waive any right to jury trial or participation in a class action.
  12. Binding Effect
    By submitting your Video and checking the acknowledgment box, you agree to be legally bound by this Agreement and confirm that you have read and understood its terms, or have had the opportunity to seek legal advice.
